Matching Challenge Terms

A sponsor's match is the charity's arrangement. Givelayer shows it and counts progress.

These terms explain how matching challenges work on Givelayer: what the charity confirms about its sponsor, which gifts count, and what happens if a sponsor does not pay. They supplement the Givelayer Terms of Service.

1. Overview

A matching challenge lets a charity tell donors that a sponsor, such as a local business, a foundation or a person, has promised to match gifts made through the charity’s Givelayer page, up to a limit and until a deadline. For example: “Every gift matched up to $5,000 by Smith Bakery until December 31.”

These Matching Challenge Terms (the “Matching Terms”) supplement the Givelayer Terms of Service. Words defined in the Terms of Service mean the same here. If the two conflict on a matching challenge, these Matching Terms apply. By creating a matching challenge, the charity agrees to these Matching Terms.

02

2. The charity runs the challenge

The sponsor’s promise is an arrangement between the sponsor and the charity. Givelayer is not a party to it. Givelayer does not find sponsors, does not receive or hold a sponsor’s money, and does not guarantee that a sponsor pays.

The sponsor pays the charity directly, outside Givelayer. Givelayer shows the challenge on the charity’s page and counts progress toward it, as described in section 4.

03

3. What the charity confirms

When it creates or changes a matching challenge, the charity confirms that:

  • (a)the sponsor exists and has committed, in writing, to the amount, the ratio and the deadline shown on the page;
  • (b)the sponsor has agreed to be named, and to have its logo shown if one is used;
  • (c)everything the challenge says is true and not misleading, and the charity will correct it at once if it stops being true;
  • (d)the charity will keep the sponsor’s written commitment for at least as long as it keeps its donation records, and will show it to Givelayer on request;
  • (e)the sponsor is not a person or organization the charity is prohibited from dealing with under sanctions or other law; and
  • (f)if the sponsor receives anything in return, such as advertising or a promotion tied to its own sales, the arrangement complies with the laws that apply to it, including any rules on commercial co-venturers or charitable sales promotions.

04

4. Which gifts count, and how progress is shown

Unless the challenge says otherwise, a gift counts toward the match when it is:

  • •made through the charity’s Givelayer page, for the challenge, between its start and its deadline;
  • •held by the charity, so refunded and disputed amounts are taken off again; and
  • •a donation, never a tip to Givelayer.

The page shows the amount matched so far as Givelayer counts it: the gifts that count, multiplied by the ratio, never above the limit. Between the charity and the sponsor, their own agreement decides what the sponsor owes.

06

6. Receipts and tax

A donor’s receipt covers only that donor’s own gift. The matched amount is the sponsor’s gift to the charity and is never added to a donor’s receipt. Any receipt for the sponsor’s gift is the charity’s to give, outside Givelayer. Givelayer does not give tax advice.

07

7. Changing or ending a challenge

The charity may end a challenge early. It may raise the limit or extend the deadline only when the sponsor has agreed to it in writing. It may not lower the limit, shorten the deadline or change the ratio for gifts already made. When a challenge ends, the page shows the final matched amount.

08

8. What Givelayer may do

Givelayer may ask the charity for the sponsor’s written commitment at any time. Givelayer may hide or end a challenge that appears inaccurate or misleading, or whose commitment the charity cannot show, and may tell the charity why. Hiding a challenge never affects gifts already made.

09

9. Fees

Matching challenges carry no extra fee. Gifts made during a challenge carry the usual fees in the Terms of Service. A sponsor’s payment made to the charity outside Givelayer carries no Givelayer fee.

10

10. Responsibility

The charity is responsible for its challenges and its arrangements with sponsors. The disclaimers and limits of liability in the Terms of Service apply to matching challenges.

11

11. Changes to these terms

Givelayer may change these Matching Terms with notice in the dashboard or by email. A change applies to challenges created after it takes effect.
